Terms of Service

By accessing or using the Orizon Comply Platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Orizon Comply ("Company", "we", "us", or "our").

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. In such case, "you" and "your" will refer to that entity.

If you do not agree to these Terms, you may not access or use our Service.

Our Service provides a comprehensive third-party risk management platform that includes:

• Vendor risk assessment and management tools
• Compliance framework management and reporting
• Document management and evidence collection
• Automated workflow and approval processes
• AI-powered risk analysis and insights
• NIST OSCAL compliance and integration
• API access and third-party integrations

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, though we will endeavor to provide reasonable advance notice of material changes.

To access certain features of our Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security and confidentiality of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

You may not create an account using false information or on behalf of someone other than yourself without permission. We reserve the right to refuse registration or terminate accounts that violate these Terms.

You agree to use our Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Upload, transmit, or distribute any content that is illegal, harmful, or violates third-party rights
• Attempt to gain unauthorized access to our Service or other users' accounts
• Use automated systems to access the Service without our written permission
• Interfere with or disrupt the Service or servers connected to the Service
• Reverse engineer, decompile, or attempt to extract source code from our Service
• Use the Service to compete with us or develop competing products
• Remove, alter, or obscure any proprietary notices on the Service

Violation of this policy may result in immediate termination of your account and access to the Service.

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using our Service, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy. We implement appropriate security measures to protect your data, including:

• AES-256 encryption for data at rest
• TLS 1.3 encryption for data in transit
• Regular security audits and penetration testing
• SOC 2 Type II and ISO 27001 certified infrastructure

For enterprise customers, we offer additional data processing agreements (DPAs) and business associate agreements (BAAs) as required for regulatory compliance.

The Service and its original content, features, and functionality are and will remain the exclusive property of Orizon Comply and its licensors. The Service is protected by copyright, trademark, and other laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

You retain ownership of any data, content, or information you upload to the Service ("User Content"). By uploading User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such content solely for the purpose of providing the Service.

You represent and warrant that you have all necessary rights to upload User Content and that such content does not violate any third-party rights.

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as expressly stated in these Terms.

You agree to pay all charges associated with your account. If you fail to pay any charges when due, we may suspend or terminate your access to the Service after providing reasonable notice.

We may change our pricing at any time. For existing customers, price changes will take effect at the beginning of your next billing cycle after we provide at least 30 days' advance notice.

All payments are processed securely through our third-party payment processors. We do not store credit card information on our servers.

You may terminate your account at any time by contacting our support team or through your account settings. Upon termination, your right to access and use the Service will cease immediately.

We may terminate or suspend your account and access to the Service at any time, with or without cause, with or without notice, particularly if you violate these Terms.

Upon termination:

• Your access to the Service will be immediately revoked
• We will provide you with a reasonable opportunity to export your data
• We may delete your data after 90 days, unless required to retain it by law
• All provisions of these Terms that should survive termination will remain in effect

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Service will be accurate or reliable
• Any errors in the Service will be corrected

IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL.

Our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

You agree to indemnify, defend, and hold harmless Orizon Comply, its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any User Content you upload or submit

This indemnification obligation will survive the termination of your account and these Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association.

The arbitration will be conducted in San Francisco, California, and the arbitrator's decision will be final and binding. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:

• Posting the updated Terms on our website
• Sending an email notification to your registered email address
• Providing in-app notifications when you next access the Service

Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.

The date of the last revision will be indicated at the top of these Terms.
